Conflict of Interest Policy

How we identify, disclose, and manage potential conflicts.

Every director, officer, and key contributor to The Zezula Foundation signs an annual conflict-of-interest disclosure identifying:

  • any direct or indirect financial interest in organizations the foundation may transact with;
  • any family or business relationships with grantees, vendors, or service providers;
  • any compensation arrangements with parties doing business with the foundation;
  • any other relationship that could compromise — or appear to compromise — independent judgment.

When a potential conflict exists with respect to a specific transaction or grant, the conflicted party recuses from the deliberation and vote. The disinterested directors evaluate the transaction on its merits and document the basis for their decision in the board minutes.

The foundation maintains conflict disclosures in its records and reports the existence of conflict-management processes on its annual Form 990.
